Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the NarraFlo wedding film editing service (the "Service") provided by Lam Group LTD ("we", "us", or "our"). Please read them carefully.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
Acceptance of Terms
The Service is operated by Lam Group LTD. By creating an account, submitting footage, placing an order, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference.
If you use the Service on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
The Service
NarraFlo is a professional wedding film editing service. Clients send us wedding footage and related materials, and we edit and deliver finished films. The Service is provided on a per-edit basis. It is not a subscription, and you order and pay for editing work as you need it.
We may add, change, or remove features of the Service over time as we continue to develop and improve it.
Accounts and Registration
To use most parts of the Service, you must create an account or accept an invitation to one. You agree to provide accurate and complete information and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been accessed without your authorization, you must notify us promptly at the contact address below.
Client Content and License
You retain ownership of the footage, images, and other materials you upload to the Service ("Client Content"). We do not claim ownership of your Client Content.
You grant us a limited, non-exclusive license to store, reproduce, process, edit, and otherwise use your Client Content solely for the purpose of providing the Service to you, including editing and delivering your finished films and providing support. This license lasts only as long as needed for those purposes.
You represent and warrant that you have all rights, permissions, and consents necessary to upload your Client Content and to allow us to use it as described in these Terms, including any rights and consents relating to the individuals who appear in the footage. You are solely responsible for your Client Content and for ensuring that it is lawful.
Acceptable Use
You agree not to use the Service to upload, store, or transmit any content that is unlawful, infringing, or that you do not have the right to provide. You agree not to misuse the Service, interfere with its operation or security, attempt to gain unauthorized access to any part of it, or use it in a way that violates applicable law or the rights of others.
We may suspend or limit access to the Service if we reasonably believe it is being used in violation of these Terms.
Orders, Pricing, Taxes, and Payment
Editing work is quoted based on the scope of the project, such as coverage and length. Prices are stated in Canadian dollars (CAD). Applicable taxes are calculated based on the billing address associated with the invoice and are added to the amount you owe.
Payments are processed through our third-party payment processor. Card details are entered on the processor's hosted page, and we never receive or store full card numbers. Payment is due as stated on the applicable invoice or order.
Each order includes the number of revision rounds specified for that project. Additional revisions may be available for an added fee. The Service is billed per edit, and there is no subscription or recurring charge unless you separately agree to one.
Turnaround and Delivery
Any turnaround times or delivery dates we provide are good-faith estimates, not guarantees. Actual timing can be affected by factors such as the volume and quality of the footage you provide, the scope of the project, the number of revision rounds, and how quickly you respond to requests for input or approval.
We will make reasonable efforts to deliver your finished films within the estimated timeframe and to keep you informed of the status of your project.
Intellectual Property
You retain ownership of your Client Content and of the finished films we deliver to you, subject to your payment of the applicable fees. As between you and us, the Service itself, including our software, systems, designs, and brand, and all related intellectual property, remains owned by us or our licensors.
Nothing in these Terms transfers to you any right in our intellectual property except the limited right to use the Service in accordance with these Terms.
Confidentiality
We treat the footage and materials you upload as confidential and use them only to provide the Service. We do not share your Client Content with third parties except with service providers who process it on our behalf to deliver the Service, or as required by law.
Each party agrees to protect the other party's confidential information with reasonable care and to use it only as permitted under these Terms.
Warranties and Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular result, turnaround time, or creative outcome will be achieved.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, Lam Group LTD and its officers, directors, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Service.
To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Lam Group LTD and its officers, directors, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your Client Content, your use of the Service, or your breach of these Terms.
This includes any claim that your Client Content, or our permitted use of it to provide the Service, infringes or violates the rights of any third party, including the individuals who appear in the footage.
Term and Termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if we discontinue the Service.
Provisions that by their nature should survive termination, such as those relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply after termination.
Changes to the Service and Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the effective date at the top and, where appropriate, provide additional notice.
Your continued use of the Service after updated Terms take effect means you accept the revised Terms. If you do not agree to the changes, you should stop using the Service.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws principles.
You agree that the courts located in the Province of Alberta will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the jurisdiction of those courts.
